Terms of Service
Please read these terms carefully before using our service.

1. Agreement to Terms
By accessing or using Business Review 360 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Business Review 360 (ABN 80 850 397 471) ("we", "us", or "our").
2. Description of Service
Business Review 360 is a software as a service (SaaS) platform for employee idea management. The Service enables organisations to capture, review, vote on, and implement ideas submitted by their employees.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use of your account
Account Sharing
Each user account is for a single individual only. Account credentials must not be shared with others. Organisation administrators may approve additional administrators through the platform's user management features.
4. Subscription and Payment
Access to the Service requires a paid subscription. Payment is processed securely through Stripe. By subscribing, you agree to pay all applicable fees.
Billing
- Subscriptions are billed monthly or annually, as selected at the time of purchase
- All prices are in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated
- Payment is due at the start of each billing period
Cancellation
You may cancel your subscription at any time. Upon cancellation:
- You will retain access to the Service until the end of your current billing period
- No further charges will be made after the current billing period ends
- Your data will be retained for 30 days after the end of your subscription, after which it may be deleted
Refunds
- Monthly subscriptions: No refunds are provided for the balance of the current month
- Annual subscriptions: Pro-rata refunds may be provided for the remaining months of your subscription if the Service fails to perform as described in its published documentation
Refund requests must be submitted in writing to info@businessreview360.au within 14 days of the issue arising.
5. User Content
You retain ownership of all ideas, comments, and other content you submit through the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free licence to display, store, and process your User Content solely for the purpose of providing the Service to you and your organisation.
You are responsible for ensuring that your User Content does not violate any third-party rights or applicable laws.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit harmful, offensive, or inappropriate content
- Harass, abuse, or harm other users
- Attempt to gain unauthorised access to the Service or its systems
- Interfere with or disrupt the Service or its infrastructure
- Use the Service for any fraudulent or deceptive purpose
- Reverse engineer, decompile, or disassemble any part of the Service
7. Service Availability
The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation of the Service. Planned maintenance will be scheduled outside of normal business hours where practicable.
Custom service level agreements with uptime guarantees may be available under separate enterprise contracts.
8. Limitation of Liability
To the maximum extent permitted by law, Business Review 360 and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Business interruption
- Any other pecuniary loss
Our total liability for any claims arising from or related to these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, except where a custom contract specifies otherwise.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or personal injury caused by negligence.
9. Indemnification
You agree to indemnify and hold harmless Business Review 360 and its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
10. Intellectual Property
The Service, including its software, design, logos, and documentation, is owned by Business Review 360 and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
You retain all intellectual property rights in your User Content.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
12. Account Termination
We may suspend or terminate your account if you:
- Violate these Terms or any applicable laws
- Engage in conduct that is harmful to other users or the Service
- Fail to pay applicable subscription fees
Upon termination, your right to use the Service will immediately cease. We may delete your data 30 days after termination.
13. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Queensland.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Business Review 360 regarding the Service.
